Since its first publication in 2014, this work has proven to be a Nigerian compendium on the principles of corporate law in Nigeria, a companion to students, practitioners and members of the judiciary. It represents a holistic state of the law and practice of Corporate law in Nigeria, incorporating management issues with foundational matters. Like the first edition, a conscious effort has been made to delineate the scope of corporate law from securities law. The author’s text – Company Securities: Law & Practice is designed to address securities law issues and to emphasize the distinct strand of securities law from the classical scope of company law.
In 2019, the author edited and published seven volumes of a new report on Company and Securities Law: Nigerian Company and Securities Law Reports (1958 – 2017). This became a compendium of company law reports for that period. It was quickly followed by the enactment of the Companies and Allied Matters Act 2020 by the 9th National Assembly. These developments necessitated a review of the first edition and the production of this work. This work is therefore an update reflecting the extant provisions of the Companies and Allied Matters Act 2020 and judicial decisions of the superior courts on company law issues. It highlights new innovations of the 2020 Act with copious comparative reference to the state of the law under the 1990 Act.
The book, Principles of Corporate Law in Nigeria, provides in-depth theoretical and practical insight of the subject to the law researcher either as a student or practitioner. To judicial officers, it offers a rich resource material expounding the subject and providing an analytical perspective from an academic. It is an effort to provide a composite exposition of Nigerian corporate law principles against the background of its rich English case law heritage and the Nigerian jurisprudence that have evolved over time. It should also address the need of comparative analysts as it offers an insight into the law in other jurisdictions where relevant. In appropriate cases, the work indicates areas of possible law reform in a context of convergence and globalization of corporate best practices. Apart from legal practitioners, students of business and management studies will also find this work a great resource material.
The 2nd edition is updated with CAMA 2020, new incorporation requirements, and new provisions on partnerships. It has innovations on Registered Trustees and Company Administration. Recent court decisions have also been updated.
